Terms of Service
Please read these terms carefully before using Wayve.
1. Acceptance of Terms
By accessing or using Wayve ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.
You must be at least 16 years old to use Wayve. By using the Service, you represent that you meet this age requirement.
These Terms constitute a legally binding agreement between you and Songa Labs (KvK: 97922226), located at Pootstraat 131a, Delft, Netherlands.
2. Description of Service
Wayve is an AI-powered productivity platform for entrepreneurs that helps you discover automation opportunities, organize activities across life pillars, track goals, and reflect on your progress.
The Service is provided as a web-based Software as a Service (SaaS) application. Features may be added, modified, or removed at our discretion as we continue to develop and improve Wayve.
3. Account Registration
To use Wayve, you must create an account. When registering, you agree to:
- Provide accurate and complete information
- Keep your account credentials secure and confidential
- Notify us immediately of any unauthorized use of your account
- Accept responsibility for all activities that occur under your account
Each person may only maintain one account. We reserve the right to suspend or terminate accounts that violate these Terms.
4. Subscription and Payment
Pricing
Wayve is offered as a subscription service with the following plans:
- Monthly: €4.99 per month, billed monthly
- Yearly: €49 per year, billed annually
Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.
Payment Processing
All payments are processed by Whop. Your subscription is managed through Whop, not directly through Songa Labs. This means:
- Whop handles all payment processing, including credit card transactions
- Whop manages subscription billing and renewals
- Whop's Terms of Service and Privacy Policy apply to your purchase
Price Changes
We may change subscription prices with at least 30 days' notice. Price changes will not affect your current billing period. Continued use after a price change takes effect constitutes acceptance of the new price.
Free Trial / Beta
We may offer free trials or beta access at our discretion. During beta periods, the Service is provided free of charge but may have limited features or availability.
5. Refund Policy
We offer a 14-day money-back guarantee. If you're not satisfied with Wayve for any reason, you can request a full refund within 14 days of your purchase — no questions asked.
How to Request a Refund
To request a refund, contact us at info@gowayve.com or through Whop's customer support. Refunds are processed by Whop and will be returned to your original payment method within 14 days.
6. Cancellation
You may cancel your subscription at any time. Upon cancellation:
- You will retain access to Wayve until the end of your current billing period
- No refund will be provided for the remaining days of your current billing period
- Your subscription will not automatically renew
How to Cancel
You can cancel your subscription through your Whop account management page, from your Account page, or by contacting us at info@gowayve.com.
Data Export
You have the right to receive a copy of your data. You can export your data at any time from your Account page using the "Export My Data" button. Your data will be provided in a commonly used, machine-readable JSON format.
7. Acceptable Use
You agree not to use Wayve to:
- Violate any applicable laws or regulations
- Infringe upon the intellectual property rights of others
- Upload or transmit malware, viruses, or other harmful code
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt the Service or its infrastructure
- Use automated systems (bots, scrapers) to access the Service
- Reverse engineer, decompile, or disassemble any part of the Service
- Resell, sublicense, or commercially exploit the Service without permission
- Harass, abuse, or harm other users
- Send spam or unsolicited communications through the Service
8. Your Content
Ownership
You retain full ownership of all content you create in Wayve, including activities, buckets, projects, goals, and review notes ("Your Content").
License to Us
By using Wayve, you grant us a limited, non-exclusive license to store, process, and display Your Content solely for the purpose of providing and improving the Service. We will not use Your Content for any other purpose without your consent.
Backup and Export
While we maintain regular backups, you are responsible for maintaining your own copies of important data. You have the right to export Your Content at any time.
9. Intellectual Property
Wayve, including its name, logo, design, software, and all related materials, is the intellectual property of Songa Labs. All rights not expressly granted in these Terms are reserved.
Your subscription grants you a limited, non-exclusive, non-transferable license to access and use Wayve for personal, non-commercial purposes in accordance with these Terms.
You may not:
- Copy, modify, or create derivative works of Wayve
- Use our trademarks without written permission
- Remove or alter any copyright or trademark notices
10. Service Availability
We strive to provide reliable access to Wayve, but we do not guarantee 100% uptime. The Service may be temporarily unavailable due to:
- Scheduled maintenance (we will try to notify you in advance when possible)
- Unscheduled maintenance to address urgent issues
- Circumstances beyond our reasonable control (force majeure)
We are not liable for any loss or damage resulting from Service unavailability.
11. Limitation of Liability
Service Provided "As Is"
Wayve is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
No Guarantee of Results
We do not guarantee that using Wayve will help you achieve any specific results. The effectiveness of the Service depends on how you use it.
Liability Cap
To the maximum extent permitted by law, Songa Labs' total liability to you for any claims arising from or related to your use of Wayve shall not exceed the amount you paid for the Service in the 12 months preceding the claim.
Exclusion of Indirect Damages
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, even if we have been advised of the possibility of such damages.
Consumer Rights
Nothing in these Terms affects your statutory rights as a consumer under applicable law. Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.
12. Indemnification
You agree to indemnify and hold harmless Songa Labs, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
- Your use of Wayve
- Your violation of these Terms
- Your violation of any third-party rights
- Your Content
13. Changes to Terms
We may modify these Terms at any time. When we make significant changes, we will:
- Update the "Last updated" date at the top of these Terms
- Notify you via email or through the Service at least 30 days before changes take effect
Your continued use of Wayve after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the new Terms, you should stop using the Service and cancel your subscription.
14. Termination
Termination by You
You may terminate your account at any time from your Account page by deleting your account.
Termination by Us
We may suspend or terminate your account if you violate these Terms or if we reasonably believe such action is necessary to protect Wayve, our users, or third parties. We will provide notice when possible, except in cases of severe violations.
Effect of Termination
Upon termination:
- Your access to Wayve will end immediately
- We recommend exporting your data from your Account page before deleting your account
- After 30 days, your data will be permanently deleted from our systems
- Sections of these Terms that should reasonably survive termination will continue to apply
15. Governing Law
These Terms are governed by the laws of the Netherlands. Any disputes arising from or relating to these Terms or your use of Wayve shall be subject to the exclusive jurisdiction of the courts of The Hague, Netherlands.
As a consumer in the EU, you may also be entitled to bring claims in the courts of your country of residence.
16. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.
